    Welcome to join the WeChat service market MCN area!

    In order to use the WeChat Service Market MCN Service (hereinafter referred to as the "Service" or "MCN Service"), you should read and comply with the "WeChat Service Market Service Provider Terms of Service (applicable to the MCN Area)" (hereinafter referred to as the "Terms"). Please be sure to carefully read and fully understand the terms, especially the corresponding terms of exemption or limitation of liability, and the separate agreement for opening or using a service, and choose to accept or not accept. Limitations and exclusions may be brought to your attention in bold.

    Unless you have read and accepted all the terms of these Terms, you have no right to enter the WeChat service market or use this service. BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS OF USE.

    If you violate any of these Terms, Tencent has the right to unilaterally limit, suspend or terminate the provision of this service to you at any time in accordance with the violation, and has the right to pursue your relevant responsibilities.

    I, Validity and Scope of Agreement

    1.1 This Agreement constitutes the agreement between you and Company with respect to your use of the Service. "You" means the MCN Institutional Service Provider that has entered the Tencent WeChat service market. "Tencent" means the Tencent Company and any operating affiliates that may exist in connection with the Service.

    1.2 This Agreement is the "Terms of Service for the Use of WeChat Service Market MCN Zone"WeChat Open Platform Operation SpecificationThe supplementary provisions are an integral part of it. In the event of any conflict between these Terms and the above Agreement, these Terms shall prevail.

    1.3 These Terms and Conditions apply to the MCN Institutional Service Providers who apply to be settled in the Tencent WeChat Services Market and use the Services of the WeChat Markets.

    2.3 MCN Zone: refers to the service market provided by Tencent based on WeChat service market to connect merchants and MCN service providers. The area is mainly used to provide technical services between merchants and MCN service providers, and by providing merchants with MCN service providers and related information, so that merchants can independently choose MCN service providers and their contracted anchors to cooperate.

    2.4 WeChat Mini Program: HasWeChat Mini Program Platform Terms of ServiceThe meaning set forth in.

    2.5 merchant: Refers to the subject that has opened the WeChat Mini Program live broadcast function and permission or opened other functions or permissions recognized by Tencent, and applies for or uses this service.

    2.6 Talent: refers to the star, internet celebrity, network anchor, self-media red person, KOL and other self-employed person who has employment relationship or contract relationship with MCN service providers.

    2.7 Enter the people.: has the meaning set forth in Section 4.1.2.

    2.8 Tenpay Services: refers to the payment and settlement services provided by Tenpay Payment Technology Limited Company (hereinafter referred to as Tenpaid) for MCN service providers and merchants to complete transactions and transfer funds.

    2.9 Technical service charges: refers to the fees charged by Tencent based on technical support services provided to the MCN Zone.

    2.10 **Refund Confirmation Period:**Refers to the time limit for the MCN service provider to confirm the merchant's refund application as stipulated by Tencent on the relevant page of the WeChat Service Market MCNN area.

    III. [Application for Entry]

    3.1 Access requirements

    3.1.1 MCN service providers meeting the following conditions may apply to Tencent to enter the WeChat service market:

    （1） Need to be an independent company legal person, with fixed office space, and general taxpayer qualification

    （2） Registered and operated for more than 1 year

    （3） The scope of business should include: talent, red people, self-media and other related businesses, with rich talent resources and anchorman incubation ability, market planning and publicity ability of the company, such as red man/artist/Model agencies, self-media companies, etc., and engaged in related business for more than half a year

    （6） With WeChat mini program content service experience, provide Mini Program live broadcast planning, anchor appearance for at least three or more businesses, Official Account message template On behalf of operations, graphic promotion, video planning and shooting content services.

    Access requirements related to this feature are determined by Tencent in its sole discretion and may be adjusted from time to time.

    3.1.2 You shall, in accordance with the provisions of these Terms and the relevant operating rules and guidance documents of the WeChat service market, fill in the necessary information, provide relevant qualification certificates and relevant certification documents, and apply to Tencent for entering and using the Service. After you submit the application, Tencent has the right to review the application based on WeChat and the orderly operation and healthy development of the platform, and has the right to independently judge and decide whether to provide this service to you and the specific scope of the provision. The information that Tencent requires you to fill out and provide qualification documents may include:

    (1) MCN body certification documents

    (2) MCN and Da Da signing documents

    (3) Personal identification documents

    (4) MCN historical cooperation case proof

    (5) Other relevant documents

    3.1.3 If any information or qualifications submitted by you changes after you enter the MCN Area and during the period of using the Service, you shall promptly apply to Tencent for updating and providing the changed information and qualifications. If you no longer meet the MCN area access requirements or no longer have the ability to perform these terms, Tencent has the right to stop you as a MCN service provider in the MCN area and terminate or suspend to continue to provide services to you.

    3.1.4 When you settle in the MCN zone, you need to bind a bank account and complete the relevant verification work. If the services you provide involve fund settlement, Tenpay will provide payment settlement services.

    3.2 Successfully settled in the MCN zone

    Your application will be opened if the following conditions are met:

    3.2.1 You have agreed online to these Terms and to all existing or future regulations and rules issued by the MCN Zone

    3.2.2 Relevant information and qualification documents have been submitted to Tencent in accordance with Article 3.1.2 of this Article

    3.2.2 The submitted services and talents comply with the provisions of 3.1.1, and the MCN can be displayed in the WeChat Service Market MCNAREA.

    3.3 Liability and Guarantee

    你应保证MCN服务商系依据中华人民共和国法律合法设立并有效存续的法人主体，享有签署本条款和履行其项下义务的全部必要权利和能力。你应保证，你使用本功能、提供相关服务等行为须符合相关法规的要求，具有相关合法资质或相关行为已经过相关政府部门的审核批准，且你保证提供给我们的全部资质证明文件、资料信息、联系方式的真实性、合法性、准确性和有效性。如你违反上述承诺，腾讯将有权停止你作为MCN服务商在MCN专区入驻并终止或中止继续向你提供服务。如因前述原因发生纠纷或被相关行政主管机关处罚，你应承担全部法律责任，如给腾讯及第三方造成损失的，你应赔偿全部损失。

    IV. [Rights, Benefits and Obligations of MCN Service Providers]

    4.1 By entering the MCN zone, you will enjoy the following rights:

    4.1.1 Through the MCN area to obtain the service requirements issued by merchants, provide content services.

    4.1.2 Daren can be invited to enter the MCN area, the invitation must be initiated by the MCN service provider through the MCN area, after completing the real-name authentication and binding with the MCN service provider (hereinafter referred to as "settled in Daren"), can provide content services for businesses.

    4.1.3 MCN service providers can display in the MCNN area settled master broadcast list, offer, introduction, service details and other information settled master can display their personal information on their personal homepage.

    4.1.4 MCN Service Provider has the right to collect content service fees from merchants. The above service fees already include all the fees for the use of MCN Service Provider by merchants such as remuneration, taxes and miscellaneous fees. MCN Service Provider shall settle accounts with MCN Service Provider in accordance with the relevant agreements between MCN and MCN.

    4.1.5 You fully understand and know that after the MCN service provider is settled, the relevant services can only be released after the audit of Tencent, and such services are not displayed to users during the audit phase. If the MCN Service Provider modifies and changes the service released after review, the relevant service will not be displayed to the user during the modification and change period.

    4.2 In using this service, you should also comply with the following provisions:

    4.2.1 When inviting talent to live in the MCN zone, they should provide a legitimate brokerage agreement that meets the requirements of the zone./Cooperation agreement/Written documents such as employment contracts.

    4.2.2 The MCN Service Provider shall ensure the authenticity, legality, accuracy and validity of the displayed information displayed in the Zone.

    4.2.3 The relevant agreements, terms and rules of the WeChat Service Market, including these Terms, shall be observed.

    4.2.4 Shall ensure the compliance of the use of this service by the Master, including but not limited to the supervision of the behavior of the Master, and urge the Master to comply with theWeChat Mini Program Live Function Terms of Service、The Anchor Code of ConductAnd promises to be joint and several liability for the content and implementation of the content released or disseminated by the people in the company.

    4.2.5 It shall ensure that the use of the Service by MCN Service Providers and Resident Persons to provide live streaming services does not violate the requirements of applicable laws and regulations.

    4.2.6 Provide service consultation and after-sales service for merchants, answer and handle the problems encountered in the process of transaction and service implementation, and deal with any disputes and disputes arising from transactions between you and merchants in the MCN Zone in a timely and effective manner.

    4.2.7 Transactions shall be based on real and lawful purchase demand, shall not violate any laws and regulations, relevant agreements and rules, shall not maliciously disrupt the normal transaction order, and shall not infringe upon the legitimate rights and interests of any third party or Tencent.

    V. Rights and Obligations of Tencent

    5.1 You are well aware and understand that Tencent provides technical support and network services for this service under this provision, including the construction of the MCN area, the production of web pages, the support of MCN service providers and visitors to the release and display of information, the release of live broadcast activities by businesses, the selection of MCN service providers and the arrival of visitors, and so on.

    5.2 Tencent has the right to formulate audit standards and requirements for MCN service providers and talent entry in accordance with relevant laws and regulations, industry standards and WeChat platform rules, and to provide subject materials, qualification licenses, talent information, and talent cooperation agreements/Employment contracts and other information are reviewed.

    5.3 Tencent has the right to supervise the conduct of MCN service providers and resident talents in the process of providing live streaming services, such as violations of these Terms,WeChat Mini Program Live Function Terms of Service、The Anchor Code of ConductAnd other platform rules, Tencent has the right to deal with the relevant platform rules, including but not limited to warning, suspension or permanent cessation of the provision of the service to youIf Tencent suffers political penalties or civil liability and other legal consequences, Tencent has the right to claim compensation from the MCN service provider and the Master.

    5.5 Tencent provides the Service to you for free at present, but Tencent reserves the right to charge you a technical service fee. If Tencent needs to charge you a technical service fee in the future, Tencent will make a notice or announcement on the corresponding service page to ensure that you have the full right to choose. If you do not agree to the relevant paid services, you should stop using this service.

    VI. [Fee Settlement and Refund]

    6.1 You understand and agree that payments made by merchants to purchase services provided by you in the MCN Area will not be made directly to you. In the settlement period, if there is no complaint that has been examined and approved or no relevant funds have been punished, it will enter into the Tenpay Transfer Merchant Number provided by Tenpay Company as the funds to be settled (hereinafter referred to as the "funds to be settled"). You acknowledge and authorize Tencent to send payment instructions to Tenpay Company on your behalf to transfer the funds to be settled or other fees (if any) satisfying the settlement conditions from Tenpay Transfer Merchant Account to your bank account. At the same time, you acknowledge and authorize Tencent to send payment instructions to Tenpay Company on your behalf to transfer the refund amount satisfying the refund requirements from the Tenpay Transfer Merchant Account to the merchant's bank account.

    6.2 You should ensure that the bank account you bind is owned by your business. Any abnormal use of relevant functions involving funds due to your incorrect binding, such as failure to transfer funds, failure to transfer funds, loss of funds, delay in settlement, transfer to the wrong account and any consequences and losses, shall be borne by you.**

    6.3 When the merchant confirms the service delivery (or the relevant service automatically confirms the delivery according to the relevant rules of the WeChat service market MCN area), Tencent will feedback to you the total amount of funds to be settled that have been confirmed and delivered in the previous calendar month before the 10th of each calendar month (the billing date).And before the 28th day of each calendar month (settlement date), send payment instructions to Tenpay Company for the funds to be settled to be paid to you, and settle the payment through Tenpay Company to the bank card account provided by you and verified.

    6.4 You fully understand and agree that if the Merchant requests a refund and complies with the refund rules set forth in Section 6.8 of these Terms and the relevant product page, and occurs before the Billing Date of the month, After verification and confirmation by Tencent, the order amount will be refunded to the merchant in full, and the order will not be settled to you. Tencent will send instructions to Tenpay to deduct the corresponding refund amount from the funds to be settled, and the refund amount will be returned to the merchant through Tenpay.

    6.5 You clearly understand and agree that for the services delivered, you shall issue an equal amount of legal and valid invoice to the Merchant in accordance with the requirements of laws and regulations, and the specific details shall be determined by you and the Merchant through consultation.

    6.6 The settlement speed of the funds to be settled is objectively affected by payment channels, network environment, system environment, etc., and the funds to be settled will be transferred to your bank account within a commercially reasonable time.

    6.7 Tencent may modify and change the frequency and limit of payment funds, or the frequency, cycle and method of settlement of funds of users of this feature according to business needs. Before modification or change, Tencent will notify or announce on the corresponding service page, which will be determined according to the actual implementation policy at that time. If you do not agree with the above modifications and changes, you should stop using the corresponding functions, otherwise, your continued use will be deemed to agree to the above modifications and changes.

    6.8 Refund Rules:

    6.8.1 Before the confirmation of the merchant order is completed, if you initiate a refund application, you shall confirm it in a timely manner. If you confirm the refund during the refund confirmation period, or do not confirm before the end of the refund confirmation period, you will be deemed to have agreed to the refund. If you refuse the refund, you will enter the WeChat service market appeal process, and Tencent will handle it according to the relevant platform rules.

    6.8.2 After the merchant confirms the completion of the order, refunds are not supported.

    VII. [Disclaimer]

    7.1 You acknowledge and agree that by signing these Terms, Tencent does not warrant that the Service will be provided to you. Tencent has the right to independently determine the specific time for the opening, suspension and termination of the Service, the duration of the pilot program and the specific content of the Service according to the product plan and operation situation, and the foregoing decision shall take effect without notice, and Tencent shall not assume any responsibility for this to you. We do not warrant that your use of the Service will be uninterrupted or error-free. You agree that Tencent may remove Content from the Service or suspend or terminate the provision of the Service from time to time without notice. Tencent does not warrant that the Service will be free from network failures, losses, attacks, viruses, interference, hacking or other security intrusions.

    7.2 You agree that you voluntarily assume the risk of using the Service. The Service and all product features and services provided to you through the Service are provided as is, and Tencent disclaims all warranties, express or implied, including specific applicability, non-infringement, etc.

    7.3 You understand and agree that Tencent is only the technical provider of this service, not a professional judicial organization, and can only make reasonable, accurate and reliable information on the application information or qualification certificates submitted by you within the scope of Tencent's lawful authority and ability. Careful formal evaluation and judgment, but Tencent cannot substantially review your actual operation, operation and promotion, and does not provide any guarantee for this.

    7.4 In the process of using this service, if you violate these terms or commitments under these terms or have other illegal, super-authorized, unreasonable use of this service, resulting in any litigation, Claims, disputes, you undertake to protect Tencent, Tencent employees, affiliates, agents, contractors, etc. related to the Service from harm, and guarantee that it will be resolved on behalf of, bear the relevant liabilities and all expenses (including legal fees, related compensation, fines, etc.).

    8. [Information Protection]

    8.1 Tencent will take reasonable steps to protect the information submitted to Tencent. Except as provided for by laws and regulations, Tencent will not disclose the above information to third parties. Tencent uses professional encryption to store and transmit relevant information to ensure the information security of all parties.

    8.2 In the process of using this service need to fill in or authorize some of the necessary information, please keep this information true, accurate, legal, effective and pay attention to timely updates, so that Tencent to provide you with timely and effective help, or better provide services. If the information is incomplete or inaccurate, you may not be able to use the Service or be restricted in its use.

    IX. Intellectual Property Rights

    9.1 For the rights of images, trademarks, logos and text, audio, video, images and other rights related to the content of live broadcast services provided by MCN service providers and settled people, The parties agree to grant Tencent a non-exclusive, free of charge, perpetual, worldwide license to store, use, reproduce and display all or part of the Content uploaded, posted and displayed through the Service in order for Tencent to provide related technical services and display to users.

    9.2 Unless otherwise stated, all copyrights, patents and other intellectual property rights in the software on which Tencent provides the Service are owned by Tencent.

    X. [Other]

    10.1 In addition to the provisions of this Agreement, MCN Service Providers and Resident Talent shall also comply with the provision of live streaming services.WeChat Mini Program Live Function Terms of ServiceThe Anchor Code of ConductWeChat related agreements and rules.

    10.2 By accessing or using the Service, you agree to be bound by these Terms of Service. Tencent reserves the right to modify this Agreement if necessary. You can check the latest version of the terms on the relevant service page, after the changes in these terms, if you continue to use the service, you will be deemed to accept the revised terms. If you do not accept the amended terms, you should stop using the Service.

    10.3 本条款签订地为中华人民共和国广东省深圳市南山区。一切与本条款有关的争议均由本条款签订地有管辖权的人民法院管辖。

    10.4 本条款的成立、生效、履行、解释及纠纷解决，适用中华人民共和国大陆地区法律（不包括冲突法）。
