If you violate any of these Terms, Tencent has the right to unilaterally limit, suspend or terminate the provision of this service to you at any time in accordance with the violation, and has the right to pursue your relevant responsibilities.
I, Validity and Scope of Agreement
1.1 This Agreement constitutes the agreement between you and Company with respect to your use of the Service. "You" refers to the third party service provider in the Tencent WeChat service market. "Tencent" means the Tencent Company and any operating affiliates that may exist in connection with the Service.
1.2 These Terms are the "WeChat Service Market Mini Store Value-Added Service Area Use Terms of Service" andWeChat Open Platform Operation SpecificationThe supplementary provisions are an integral part of it. In the event of any conflict between these Terms and the above Agreement, these Terms shall prevail.
1.3 These Terms and Conditions apply to third party service providers who apply to enter and use the Tencent WeChat Service Market.

2.1 **WeChat Service Market:**Refers to the platform provided by Tencent for qualified third-party service providers to settle in and provide relevant information and services to WeChat users, Tencent provides these third party service providers with internet related technical services, such as internet information services, service setup and match, self-service administration of service flow, etc.
2.2 Third party service providers: Refers to an institution that, after effective registration, application and certification, connects its third-party platform with corresponding rights to the WeChat service market and provides merchants with third-party platform-related services, including but not limited to mini program development services and Mini Store value-added services.
2.3 Permission set: HasWeChat Open Platform Public Account Third-Party Platform Developer Service AgreementThe meaning set forth in. When a merchant chooses to purchase a certain type of service provided by a third-party service provider, it agrees to license the corresponding permission set to that third-party service provider.
2.4 WeChat Mini Program: HasWeChat Mini Program Platform Terms of ServiceThe meaning set forth in.
2.5 WeChat Mini Store: Also known as "small stores," refers to the technical services such as product information display and product trading provided by Tencent to merchants based on the underlying framework of WeChat mini programs.
2.6 Trading Open Components: Also known as "open components," refers to the plugins provided by Tencent for merchants that can be invoked by merchants in their existing mini programs to achieve quick access to WeChat small stores and use their functions.
2.7 Mini Program Development Zone: Refers to the service market provided by Tencent based on the WeChat service market that connects merchants with third-party service providers that provide mini program development services. The zone is mainly used to provide technical services such as information display and information interaction based on Mini Program development services between merchants and third-party service providers, so that merchants can independently choose Mini Program development related services provided by third-party service providers.
2.8 Mini Store Value Added Service Area: Refers to the service market provided by Tencent based on WeChat service market that connects merchants with third-party service providers that provide value-added services for small stores. The zone is mainly used to provide information display of value-added services based on WeChat small stores and WeChat open components between merchants and third-party service providers. Information interaction, transaction inquiry, ordering and other technical services, so that businesses can independently choose the Mini Store value-added services provided by third-party service providers and carry out transaction cooperation.
2.9 merchant: refers to the subject that has registered WeChat Mini Program, or has opened WeChat Mini Store, or has access to WeChat Open Component functions and permissions, or has opened other functions or permissions recognized by Tencent, and applies for or uses this service.
2.10 Tenpay: refers to the payment and settlement services provided by Tenpay Payment Technology Company Limited (hereinafter referred to as the "Tenpay Company") for the transfer of transaction funds or fees between third-party service providers, merchants and Tencent.
2.11 Technical service charges: refers to the fees charged by Tencent based on the technical support services provided for the WeChat service market.
2.12 Refund Confirmation Period: Refers to the period for third-party service providers to confirm merchant refund applications stipulated by Tencent on the relevant page of the WeChat service market.
2.13 Package service: Refers to third-party service providers that provide standardized pricing service packages to merchants.
III. [Application for Entry]
3.1 Access requirements
3.1.1 Third-party service providers that meet the following conditions may apply to Tencent to enter the WeChat service market:
（1） Must be registered and certified as a third-party developer on WeChat Open Platform
（2） Experience in Mini Program development or Mini Store value-added services related development experience
（3） Submit a Mini Program case or value-added service case corresponding to the service content and pass the review.
Access requirements related to this feature are determined by Tencent in its sole discretion and may be adjusted from time to time.
3.1.2 You shall, in accordance with the provisions of these Terms and the relevant operating rules and guidance documents of the WeChat service market, fill in the necessary information, provide relevant qualification certificates and relevant certification documents, and apply to Tencent for entering and using the Service. After you submit the application, Tencent has the right to review the application based on WeChat and the orderly operation and healthy development of the platform, and has the right to independently judge and decide whether to provide this service to you and the specific scope of the provision. The information that Tencent requires you to fill out and provide qualification documents may include:
(1) Enterprise main body information and qualification certificate
(2) Service introduction and service cases
(3) WeChat third-party platform account
(4) Other relevant documents
3.1.3 After you enter the WeChat service market and during the use of the service, if there is any change in the information or qualification submitted by you, you should apply to Tencent for updating and provide the changed information or qualification in a timely manner. If you no longer meet the market access requirements for WeChat services or no longer have the ability to perform these Terms, Tencent has the right to stop you from entering the WeChat service market as a third-party service provider and terminate or suspend the provision of services to you.
3.1.4 When entering the WeChat service market, you need to bind your bank account and complete the relevant verification work. If the service you provide involves the settlement of funds, the payment and settlement service will be provided by Tenpay.
3.2 Successfully entered the WeChat service market
Your application will be opened if the following conditions are met:
3.2.1 You have online agreed to these Terms and all the rules and regulations that have been or will be published in the WeChat Service Market
3.2.2 Relevant information and qualification documents have been submitted to Tencent in accordance with Article 3.1.2 of this Article
3.2.2 The submitted services comply with the provisions of 3.1.1, and the third-party service providers can display them in the WeChat service market.
3.3 Liability and Guarantee
你应保证第三方服务商主体系依据中华人民共和国法律合法设立并有效存续的法人主体，享有签署本条款和履行其项下义务的全部必要权利和能力。你应保证，你使用本功能、提供相关服务等行为须符合相关法规的要求，具有相关合法资质或相关行为已经过相关政府部门的审核批准，且你保证提供给我们的全部资质证明文件、资料信息、联系方式的真实性、合法性、准确性和有效性。如你违反上述承诺，腾讯将有权停止你作为第三方服务商在服务市场入驻并终止或中止继续向你提供服务。如因前述原因发生纠纷或被相关行政主管机关处罚，你应承担全部法律责任，如给腾讯及第三方造成损失的，你应赔偿全部损失。
IV. [Rights and obligations of third-party service providers]
4.1 After entering the service market, you will have the following rights:

4.1.2 Third-party service providers have the right to charge service fees from merchants, which include software usage fees, taxes and other fees for merchants using third-party service providers to provide services.
4.1.3 You fully understand and understand that after the third-party service provider has settled in, the relevant services can be released only after being reviewed by Tencent, and such services are not displayed to users at the review stage. If the third-party service provider modifies or changes the service that has been reviewed and released, the relevant service will not be displayed to the user during the modification or change.
4.2 In using this service, you should also comply with the following provisions:
4.2.1 The third party service provider shall guarantee the authenticity, legality, accuracy, availability and effectiveness of the information displayed by the third party service provider in the service market.
4.2.2 The relevant agreements, terms and rules of the WeChat Service Market, including these Terms, shall be observed.
4.2.3 Ensure that the use of the Service by third party service providers does not violate the requirements of applicable laws and regulations.
4.2.4 Provide service consultation and after-sales service for merchants, answer and handle the problems encountered in the process of transaction and service implementation, and timely and effectively deal with any disputes and disputes arising from transactions between you and merchants in the service market.
4.2.5 Transactions should be based on real and legitimate purchase needs, do not violate any laws and regulations and relevant agreements and rules, shall not carry out malicious acts to disrupt the normal transaction order, and the service content shall not infringe on the legitimate rights and interests of any third party or Tencent.
4.2.6 The data obtained by the third-party service providers based on the value-added services of the Mini Store shall not be disclosed or provided to any third party without the consent of Tencent and the merchant.
4.2.7 The service functions provided by third-party service providers based on the value-added services of small stores shall not contain content unrelated to the core services, including but not limited to advertisements, chain hopping, transaction capabilities, etc. unrelated to the service functions.
4.2.8 Based on the service functions provided by the Mini Store value-added services, the third-party service providers shall not have other payment capabilities in the non-listed Mini Store value-added services market, including but not limited to paying on the third-party service providers' websites or guiding other third-party channels.
4.3 You clearly understand and agree that Tencent has the right to require third-party service providers to provide free services to merchants within a certain period of time after entering the WeChat service market. Please refer to the WeChat service market page for specific guidelines. By using this service, you agree to provide relevant services to merchants free of charge according to the requirements of Tencent, and for the relevant free period, Tencent will notify or announce on the corresponding product page to ensure that you have the full right to choose. If you do not accept the provision of the relevant free services, you should stop using the service.
V. Rights and Obligations of Tencent
5.1 You are aware and understand that Tencent provides technical support and network services for the Service under these Terms, Including WeChat service market construction, web page production, support for third-party service providers settled in and support information release and display, support for merchants to choose third-party service providers to provide Mini Store value-added services and transaction cooperation.
5.2 Tencent reserves the right to formulate audit standards and requirements for the entry of third-party service providers in accordance with relevant laws and regulations, industry standards and WeChat platform rules, and to review the subject materials, qualifications and licenses provided by them.
5.3 Tencent has the right to supervise the various acts of third-party service providers in the process of providing technical services, such as finding violations of these Terms,Terms of Service of WeChat Mini Store、WeChat Open Platform Developer Service AgreementAnd other platform agreements and rules, Tencent has the right to deal with them in accordance with the relevant platform rules, including but not limited to warning, suspension or permanent cessation of the provision of the Service to youIf Tencent is subject to administrative penalties or legal consequences such as civil liability, Tencent has the right to claim compensation from the third-party service provider.
5.4 You acknowledge and agree that Tencent, as a technical service provider in the WeChat service market, Only provide neutral technical support services related to the WeChat service market, the specific technical services are provided by third-party service providers, and they bear full responsibility, Tencent does not make any commitments and guarantees for the effect of technical services. If any disputes or liabilities arise between the third-party service provider and the merchant in the course of providing services, the two parties shall resolve them amicably through negotiation.
5.5 To provide you with this service, Tencent has the right to charge you for technical services. Your use of this feature indicates that you agree to pay Tencent technical service fees. If you do not agree to the relevant paid services, you should stop using this service.
5.6 For package services, Tencent will charge a technical service fee in accordance with a certain percentage of the transaction volume of package services. The specific percentage will be notified or announced on the corresponding service page of the WeChat service market to ensure that you have the full right to choose and the right to know. If you do not agree to the charges, you should stop using the Service. The specific package service transaction amount is subject to the data of WeChat service market statistics.
5.5.2 Technical service fees are automatically deducted when Tencent provides service fees to third-party service providers.
VI. [Cost Settlement]
6.1 You clearly understand and agree that when the merchant purchases the services provided by you in the WeChat service market, it will enter the Tenpay account as the funds to be settled (hereinafter referred to as the "Funds to be settled"), provided that there are no complaints that have been approved or relevant funds have not been punished during the settlement period. You acknowledge and authorize Tencent to send payment instructions to Tenpay Company on your behalf to transfer the funds to be settled or other charges (if any) satisfying the settlement conditions from Tenpay Account to your bank account. At the same time, you acknowledge and authorize Tencent to send payment instructions to Tenpay Company on your behalf to transfer the refund amount satisfying the refund request from Tenpay Account to the merchant's bank account. In the event that Tencent is required to charge you a technical service fee and you have agreed to continue to use the Service, you acknowledge and authorize Tencent to send payment instructions to Tenpay to transfer the amount of the technical service fee from the Tenpay account to the Tencent account.
6.2 You should ensure that the bank account you bind is owned by your business. Any abnormal use of relevant functions involving funds due to your incorrect binding, such as failure to transfer funds, failure to transfer funds, loss of funds, delay in settlement, transfer to the wrong account and any consequences and losses, shall be borne by you.
6.3 The validity period of the services you provide is subject to the display of the corresponding service page, and Tencent will report to you before the 10th day of each calendar month (billing date) that the validity period of the previous calendar month has expired and/Or the total amount of funds pending settlement of services confirmed as completed in accordance with the Platform RulesAnd before the 28th day of each calendar month (settlement date), send payment instructions to Tenpay Company for the funds to be settled to be paid to you, and settle the payment through Tenpay Company to the bank card account provided by you and verified.
6.4 You fully understand and agree that if the merchant applies for a refund and complies with the refund rules of the Mini Store value-added service area of the WeChat service market (please refer to the content of the relevant pages in the Mini Store value-added service area), and it occurs before the settlement date of the month, After verification and confirmation by Tencent, the order amount will be refunded to the merchant in full, and the order will not be settled to you. Tencent will send instructions to Tenpay to deduct the corresponding refund amount from the funds to be settled, and the refund amount will be returned to the merchant through Tenpay. Refunds are not supported for orders with confirmed delivery service.
6.5 You clearly understand and agree that for the completed services, you shall issue equal legal and valid invoices to the Merchant in accordance with the requirements of laws and regulations, and the specific details shall be determined by you and the Merchant through consultation.
6.6 The settlement speed of the funds to be settled is objectively affected by payment channels, network environment, system environment, etc., and the funds to be settled will be transferred to your bank account within a commercially reasonable time.
6.7 Tencent may modify and change the frequency and limit of payment funds, or the frequency, cycle and method of settlement of funds of users of this feature according to business needs. Before modification or change, Tencent will notify or announce on the corresponding service page, which will be determined according to the actual implementation policy at that time. If you do not agree with the above modifications and changes, you should stop using the corresponding functions, otherwise, your continued use will be deemed to agree to the above modifications and changes.
6.8 Refund Rules:
6.8.1 No refund without reason is supported. If it is the responsibility of a third-party service provider, the merchant may initiate a refund application before the expiration of the service validity period. The refund shall be confirmed by the Third Party Service Provider during the Refund Confirmation Period. If the Third Party Service Provider neither refuses nor confirms the refund before the end of the Refund Confirmation Period, the refund shall be deemed successful. If the third-party service provider refuses to refund, it will enter the WeChat service market appeal process, and Tencent will handle it according to the relevant platform rules.
6.8.2 After the expiration of the service period, refunds are not supported.
6.9 You understand and agree that any loss caused to Tencent as a result of your breach of contract, You acknowledge and authorize Tencent to send a stop payment order directly to Tenpay Company in accordance with the provisions of this Agreement, to stop payment of all amounts not yet paid to you, and to send an order to deduct all expenses such as losses and expenses payable to Tencent.
VII. [Disclaimer]
7.1 You acknowledge and agree that by signing these Terms, Tencent does not warrant that the Service will be provided to you. Tencent has the right to independently determine the specific time for the opening, suspension and termination of the Service, the duration of the pilot program and the specific content of the Service according to the product plan and operation situation, and the foregoing decision shall take effect without notice, and Tencent shall not assume any responsibility for this to you. We do not warrant that your use of the Service will be uninterrupted or error-free. You agree that Tencent may remove Content from the Service or suspend or terminate the provision of the Service from time to time without notice. Tencent does not warrant that the Service will be free from network failures, losses, attacks, viruses, interference, hacking or other security intrusions.
7.2 You agree that you voluntarily assume the risk of using the Service. The Service and all product features and services provided to you through the Service are provided as is, and Tencent disclaims all warranties, express or implied, including specific applicability, non-infringement, etc.
7.3 You understand and agree that Tencent is only the technical provider of this service, not a professional judicial organization, and can only make reasonable, accurate and reliable information on the application information or qualification certificates submitted by you within the scope of Tencent's lawful authority and ability. Careful formal evaluation and judgment, but Tencent cannot substantially review your actual operation, operation and promotion, and does not provide any guarantee for this.
7.4 In the process of using this service, if you violate these terms or commitments under these terms or have other illegal, super-authorized, unreasonable use of this service, resulting in any litigation, Claims, disputes, you undertake to protect Tencent, Tencent employees, affiliates, agents, contractors, etc. related to the Service from harm, and guarantee that it will be resolved on behalf of, bear the relevant liabilities and all expenses (including legal fees, related compensation, fines, etc.).
8. [Information Protection]
8.1 Tencent will take reasonable steps to protect the information submitted to Tencent. Except as provided for by laws and regulations, Tencent will not disclose the above information to third parties. Tencent uses professional encryption to store and transmit relevant information to ensure the information security of all parties.
8.2 In the process of using this service need to fill in or authorize some of the necessary information, please keep this information true, accurate, legal, effective and pay attention to timely updates, so that Tencent to provide you with timely and effective help, or better provide services. If the information is incomplete or inaccurate, you may not be able to use the Service or be restricted in its use.
8.3 if you collect, store, process or use personal data and information from other users in the course of using this service, you shall abide by the provisions of laws and administrative regulations on the protection of personal information.
8.4 In order to provide a more convenient experience, when a merchant chooses a service provided by a third-party service provider in the WeChat service market, After clicking on "Purchase," it is deemed to agree to authorize the merchant's WeChat Mini Program or WeChat Mini Store corresponding permission set (including but not limited to the product permission set and order logistics permission set) to the third-party service provider to provide corresponding services. You should ensure that you use the relevant permission sets legally and safely within the scope of authorization. If any loss is caused to the merchant, Tencent or other third parties due to the responsibility of the third-party service provider, the third-party service provider shall bear all relevant legal responsibilities and consequences.
IX. Intellectual Property Rights
9.1 With respect to the images, trademarks, logos, text, images and other rights involved in the content of services provided by third-party service providers, The parties agree to grant Tencent a non-exclusive, free of charge, perpetual, worldwide license to store, use, reproduce and display all or part of the Content uploaded, posted and displayed through the Service in order for Tencent to provide related technical services and display to users.
9.2 Unless otherwise stated, all copyrights, patents and other intellectual property rights in the software on which Tencent provides the Service are owned by Tencent.

10.1 In addition to the provisions of these Terms and Conditions, third-party service providers shall also comply with the WeChat Public Platform Service Agreement, the WeChat Open Platform Operating Rules and other WeChat related agreements and rules in the process of providing services.
10.2 By accessing or using the Service, you agree to be bound by these Terms of Service. Tencent reserves the right to modify this Agreement if necessary. You can check the latest version of the terms on the relevant service page, after the changes in these terms, if you continue to use the service, you will be deemed to accept the revised terms. If you do not accept the amended terms, you should stop using the Service.
