# Provisions on the Management of Margin for Merchants (Mini Program, Custom Edition Trading Component Edition)

# I. Scope of application

(1) In order to promote merchants to provide better services to users and protect the consumer rights and interests of users, merchants shall pay deposits in accordance with these Provisions on the Administration of Margin for Merchants (hereinafter referred to as "the Provisions") and the relevant platform rules.
2. These Provisions shall apply to all WeChat mini-programs (hereinafter referred to as "mini-programs") that contain the categories of "e-commerce platform" or "merchant self-support" services, This includes, but is not limited to, the following: Unless otherwise specified in the relevant platform rules.
3. The developers of Mini Programs subject to these Provisions shall be collectively referred to as "merchants" in these Regulations.
(4) The term "margin" refers to the funds paid by merchants to ensure that they provide quality goods and services to users, and Tencent has the right to dispose of the margin in accordance with these Provisions, the relevant platform rules or the relevant agreements signed between Tencent and merchants.
5. The deposit shall be paid, paid and managed by the shop. For the purposes of these Provisions, "shop" means a WeChat mini program registered and operated by a merchant that is subject to the provisions. Different shops operated by the same merchant shall pay the deposit separately, which is used to guarantee the relevant business behavior of each shop.

# II. Payment standards and amounts

1. Tencent encourages merchants to voluntarily pay deposit to improve the consumer experience and protect the rights and interests of consumers. Tencent has the right to provide special benefits or functions to businesses or shops that have paid the deposit. The specific functions are displayed and explained on the relevant product pages of WeChat Mini Program Platform.
   2. When a merchant or a store operates under one or more of the following circumstances, in order to protect the consumer rights and interests of users, Tencent has the right to require the merchant to pay a deposit:
   2.1 A particular class of goods or services in which the shop deals, and/Or use live broadcast and other special features to promote, businesses must pay category deposit for the store, the standard see "Annex: Merchant Deposit Amount List."
   2.2 The merchant or shop has the compensation situation as stipulated in Article 4.1 of this provision, However, due to the failure of the shop to pay any security deposit, Tencent in accordance with Article 4.3 of the provisions of the first payment, the merchant should pay dispute liability deposit, the standard see Annex: Merchant Security Amount List.
   (c) Where a shop is required to pay both the dispute liability deposit and the category deposit, the amount of the deposit that the shop shall pay shall be calculated on the higher principle. For the calculation method and examples, see the Annex: List of Merchant Deposit Amount. The amount of deposit to be paid by the shop is subject to the relevant page of the WeChat mini program platform.
2. When a store needs to pay a deposit, the WeChat Mini Program will send a system reminder to the merchant. The merchant should pay the deposit in full and in time after receiving the reminder, otherwise it may affect the normal operation of the store or use some functions.
3. Tencent has the right to adjust the deposit rules from time to time according to the operation of the WeChat Mini Program Platform, including but not limited to adjusting the amount of each deposit, the circumstances under which the deposit shall be paid and the scope of the store, etc.

# III. Payment and Payment

1. When the merchant voluntarily pays or receives the system reminder that the deposit should be paid, it can pay the deposit for the store by scanning the QR code and other means in accordance with the procedures of the relevant page guidelines of the WeChat mini program platform. The business to pay the deposit behavior is also known as "recharge."
   2. The Merchant acknowledges and agrees that the relevant payments made through the relevant pages in Section 3.1 above will be used as the deposit of the Shop, The deposit will be returned to the bank account of the merchant (i.e., the Mini Program developer, as shown on the Mini Programs page) of the store. The original return is not guaranteed.
   (c) Tencent will not use the deposit paid by a merchant for purposes other than those mentioned in these Provisions. Merchant acknowledges and agrees that Tencent shall not pay Merchant any interest on the margin already paid by Merchant.

# IV. Compensation

1. If the merchant or shop examined by Tencent is under any of the following circumstances, Tencent has the right to deduct the corresponding amount from the deposit paid by the merchant and pay to the user or the relevant right holder:
1.1 If a merchant fails to fulfill or delays its service promise to consumers, Tencent determines that it is the merchant's responsibility according to the relevant platform rules. Including but not limited to logistics delays, refused 7 days no reason to return, and other businesses should be judged by Tencent refund but the merchant did not carry out the situation
1.2 Product function defects, quality problems lead to the need for offline repair, and fake, false or exaggerated publicity, goods are not on the board and other issues
1.3 In the event of any third-party complaint, report, claim, litigation or arbitration arising from Merchant's violation of these Provisions or other relevant Rules, Bring any loss or expense to Tencent or related obligee (including but not limited to litigation compensation, litigation costs, attorney's fees, etc.)
1.4 Other violations of the platform rules, related agreements or related service commitments, damage to the rights and interests of users and consumers.
2. Tencent will inform the merchant on the relevant page of the WeChat Mini Program platform when it applies the margin of shops to make any payment according to these Provisions, and explain the reason for payment and the amount of payment.
(c) When the deposit of the store is not enough to complete the full payment, Tencent shall have the right to make advance payment to the relevant user or obligee and recover the relevant money from the merchant in order to protect the rights and interests of the user. Tencent has the right to request businesses to repay the relevant money through the Mini Program platform page tips and other ways, and businesses should timely repay according to the system guidelinesIf not in full and timely repayment, Tencent has the right to take measures such as restricting the ability to pay shops call.

# V. Balance warning and retroactive payment

1. The balance of margin refers to the amount left after deducting the amount already paid by a store in accordance with these Provisions, that is, margin balance = paid margin - paid amount
   2. If a store fails to pay the deposit within 5 natural days after receiving the reminder for deposit payment for the first time, Tencent has the right to restrict the ability to provide WeChat search services for the store.
2. When the deposit balance of the shop is less than the deposit that should be paid, the merchant shall recharge in time to make up the deposit to ensure the sufficient deposit balance.
   4. When the balance of margin is less than 50% of the amount of margin payable, and the merchant fails to make full payment within 5 natural days after receiving the reminder from the system, Tencent has the right to take measures to limit the store's ability to search for external visibility, display goods and access to WeChat payment interfaces.
   5. When the margin balance is zero or equal to a negative amount (i.e., the amount due to be paid exceeds the margin amount), the merchant fails to make a sufficient payment within the time limit of the system reminder, Tencent has the right to take the circumstances of the restrictions for the store to provide search external visible, call WeChat payment interface and other services until the termination of services and other measures.

# VI. Refund

1. When the merchant terminates the operation of the shop and applies for closing the shop, if the shop has a deposit balance, it can apply for refund of the deposit to Tencent.
2. The deposit can be refunded only when the shop meets the following conditions:
   2.1 All complaints and disputes are "Mediation Closed" status
   2.2 Tencent has made up the amount advanced according to the platform rules
   2.3 Store's last transaction has been 90 days
   2.4 There are no items on sale in the store
   2.5 No unresolved violations of this provision or other relevant rules.
3. Merchants can apply for deposit refund on the relevant page of WeChat Mini Program Platform, and they need to provide the same bank account as the developer of the mini program for receiving the deposit refund.
   (4) Failure, delay, error, etc., resulting from the behavior of the merchant (such as changing the account information of the receiving bank), the loss shall be borne by the merchant itself.

# VII. Supplementary Provisions

1. These Provisions are dynamic documents, and Tencent has the right to amend, update or add the relevant administrative rules in accordance with the update of relevant laws and regulations or the needs of product operation. Merchants shall check them repeatedly to obtain the latest information.
2. These Provisions shall come into force on May 25, 2021. In order to create a good and healthy WeChat ecosystem, Tencent has the right to adjust and publish these Provisions from time to time, please pay attention to them.
